So, a labour dispute could be defined as the dispute right or interest that raises between employers and employees.

There are two major classifications of labor disputes.

A manager is a person who has been entrusted to run and represent a company, tasks which can be developed by a single manager, by several managers jointly and severally or by a board of managers.

Regardless of its configuration, article 236 in “Texto Refundido de Ley de sociedades de capital” defines manager’s responsibilities, keeping always in mind that a manager must behave with the diligence of an organized businessman.

Firstly, we have to determine that managers will have to be held liable by companies, shareholders or creditors for those damages caused by acts or omissions a) against the law or b) against the article of association or c) damages which comes from executing their duties. Malice or fault have to be visible in any case, however guilt will be presupposed in the first two assumptions.

General meeting of shareholders can adopt, authorize or ratify a detrimental act or agreement, but it doesn’t exonerate managers. In the same way, managers’ liability includes actually managers too, who acts without qualification, or with an invalid or expired one, or in any other situation as long as they carry out managers’ duties.

Finally, those legal entities which are managers could appoint a natural person to practise its position. This natural person must meet the legal requirements to be a manager, and his duties will be the same to the legal entity. Both, natural person and legal entity take responsibility jointly and severally.

Public Limited Company (PLC)

Let us tell you about the main innovations introduced by Law 27/2014, of corporate tax in Spain:

1. Enforced the civil companies to the Corporate Tax form hitherto taxed for income tax on imputed income regime.

2. In cases of operations or deferred payment terms, the income shall be understood as obtained in proportion to the corresponding charges are payable. Thus solving the problems that existed before in case of defaults.

3. Tax base:
- Temporary imputation: update accrual following the PGC and PGC for SMEs.
- Amortization: art. 12.2 eliminate the maximum annual limit for the deductibility of the amortization charge for intangible assets with finite useful life and the requirements to be met. Paragraph 3 of that article introduces the freedom of depreciation for property, plant and new material.
- Linked transactions: art. 18.2, last paragraph introduces a novel way to restricting the scope of relationship in the field of partner-society relationship, which is set at 25 per cent of participation.
- Compensation in tax base negative: no time limit, but quantitative: 70%.
4. Treatment of double taxation: exemption regime is established for dividends received and gains on the transfer of shares, whether the shares of Spanish as foreign entities. But there are some exceptions. The exemption does not apply to dividends or profit sharing distribution which generates a tax-deductible expense for the payer.

This way, transfer pricing don’t follow market economy rules, related to supply and demand, because they can be marked at a higher, lower or equal level to the market price.

The governing rules in these deals try to approach to those prices which would be set to transfers with independent companies, therefore, according to market value. These rules make possible Inland Revenue Agencies to adapt transfer pricing to market price. The aim is to avoid related companies to increase their deductions or decrease their income to contribute less to the Public Purse by manipulating prices.

To develop the right design and handling on operations between linked entities legally bound to pricing transfer will allow us the proper tax optimisation and tax statement according to the Arm´s length principle.

This Arm’s length principle” has been adopted by most world economies and, specially, by the Organization for Economic Co-operation and Development (OECD).
